Celio Health (“Celio”) is a trade name of New Century Labs, LLC, an Oregon limited liability company doing business as Celio Health (“New Century Labs,” “we,” “us,” or “our”). Celio is not a separate legal entity. These Consumer Terms of Service and Checkout Consent (“Terms”) govern your use of Celio’s website, account, checkout, laboratory-ordering workflow, results access, and related services (collectively, the “Services”).
By creating an account, placing an order, or checking the required acceptance box at checkout, you agree to these Terms and acknowledge the Celio Privacy Policy then presented or linked to you.
Celio operates a technology and administrative platform that helps consumers request access to laboratory testing and related services. Celio itself does not practice medicine, diagnose conditions, prescribe treatment, or perform laboratory testing.
Where a laboratory order requires review or authorization by a licensed healthcare professional, that review is performed by an independent licensed clinician or clinical organization. Laboratory testing is performed by an independent clinical laboratory. Those clinicians and laboratories exercise their own professional judgment and are solely responsible for the medical or laboratory services they provide.
Nothing on Celio is a substitute for the advice of your own physician or other qualified healthcare professional.
You must be at least 18 years old and legally capable of entering into these Terms to use the Services unless Celio expressly offers a legally permitted minor workflow.
You agree to provide complete and accurate information, including your identity, contact information, date of birth, sex or other information required for testing, health information requested for clinical review, and the state in which you are located. You must promptly correct information that is inaccurate.
Services, tests, clinicians, laboratories, collection options, and pricing may vary by state and may not be available in every jurisdiction.
When you submit an order, you are requesting access to the selected laboratory testing. You authorize Celio to transmit the information reasonably necessary to review and fulfill your request to the applicable independent clinician, laboratory, collection provider, and other service providers involved in your order.
You understand that a requested test is not guaranteed. An independent licensed clinician may approve, decline, modify, or request additional information regarding an order based on applicable law, professional judgment, your location, or the information you provide.
If a clinician declines an order and the purchased testing cannot be provided, Celio will refund the portion of the purchase price paid to Celio for services that were not provided, subject to Section 8.
You are responsible for following all collection, preparation, identification, scheduling, and specimen instructions provided for your order. Failure to follow instructions may delay testing, require recollection, or make a specimen unusable.
Independent laboratories and specimen-collection providers control laboratory methods, specimen acceptance, processing, test performance, quality systems, and result reporting. Turnaround times are estimates only and may vary by test, location, specimen quality, laboratory capacity, holidays, supply constraints, or other circumstances outside Celio’s control.
Certain tests may involve reflex, confirmatory, repeat, or additional testing when ordered or permitted by the applicable clinician and laboratory workflow. Any additional charge to you will be disclosed or authorized as required by applicable law.
Celio may make laboratory results available electronically after they are released by the performing laboratory. Results may contain abnormal, critical, or unexpected values.
Laboratory results alone do not constitute a diagnosis or treatment plan. You are responsible for seeking appropriate medical advice regarding your results, symptoms, medications, and health decisions.
Celio is not an emergency service. If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency medical care. Do not rely on Celio messaging, email, text messages, or the results portal for emergency care.
The price shown at checkout is the amount Celio will charge for the items and services identified in the order, subject to any clearly disclosed third-party collection or other charges. You authorize Celio and its payment processors to charge your selected payment method for amounts you approve.
Unless Celio expressly states otherwise, Celio services are offered on a cash-pay basis. Celio does not promise that any purchase will be reimbursed by an insurer, health plan, employer, HSA/FSA administrator, or other third party. You are responsible for determining whether reimbursement is available to you.
You are responsible for valid payment information and for charges that you authorize. Payment processors may receive information reasonably necessary to process, reconcile, secure, and document the transaction.
Because clinical review, requisition generation, and laboratory fulfillment may begin promptly after purchase, an order may become non-cancellable shortly after checkout.
If you request cancellation before the order has been submitted for clinical review or a laboratory requisition has been issued, whichever occurs first, Celio will provide a full refund of amounts paid to Celio for that order.
After clinical review has begun or a requisition has been issued, amounts paid are generally non-refundable because professional, administrative, and laboratory resources may already have been committed. Celio may nevertheless issue a full or partial refund when the ordered service cannot be provided, when Celio or its service provider made an error, or when required by applicable law.
Third-party collection, shipping, draw, or similar charges already incurred may be non-refundable to the extent permitted by law. If Celio displays a more specific refund rule for a particular product or service before purchase, that specific rule controls for that item.
You consent to receive these Terms, order confirmations, receipts, requisitions, scheduling information, service notices, results-availability notices, security messages, and other transaction-related communications electronically.
You authorize Celio and service providers involved in your order to contact you at the email address or telephone number you provide when reasonably necessary to operate, secure, or fulfill the Services.
Transactional and healthcare-service communications are separate from marketing. Celio will obtain any consent required by law before sending marketing communications that require separate consent. You may opt out of marketing without losing access to necessary service communications.
Celio’s collection and use of personal information are described in the Celio Privacy Policy presented or linked to you. You acknowledge that Privacy Policy when you accept these Terms.
Independent clinicians, laboratories, pharmacies, and other healthcare providers may be subject to their own privacy obligations, including the Health Insurance Portability and Accountability Act (“HIPAA”) when applicable, and may provide separate privacy notices. Celio does not represent that every piece of information processed through every Celio service is governed by HIPAA.
You authorize Celio to share information reasonably necessary to review, fulfill, support, secure, and document your order with the applicable clinicians, laboratories, collection providers, payment processors, technology vendors, and other service providers, in each case subject to applicable law and contractual safeguards where required.
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. Notify Celio promptly if you believe your account or credentials have been compromised.
You may not access another person’s account or submit an order for another person unless Celio expressly permits that workflow and you have lawful authority to do so.
You may use the Services only for lawful personal purposes. You may not interfere with the Services, attempt unauthorized access, introduce malicious code, scrape or reverse engineer restricted portions of the Services, impersonate another person, submit false information, or use the Services in a way that violates applicable law or the rights of others.
Celio relies on independent clinicians, laboratories, collection sites, payment processors, communications providers, hosting providers, and other third parties. Their services may be governed by separate terms and professional obligations.
Celio is not responsible for the independent medical judgment of clinicians, the professional acts or omissions of laboratories or collection providers, or failures caused solely by a third party outside Celio’s reasonable control, except to the extent applicable law provides otherwise.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE CELIO TECHNOLOGY PLATFORM AND NON-CLINICAL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” New Century Labs DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
New Century Labs DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ALL TIMES, OR THAT ANY TEST OR RESULT WILL ANSWER A PARTICULAR HEALTH QUESTION.
TO THE FULLEST EXTENT PERMITTED BY LAW, New Century Labs WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITY ARISING FROM THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, NEW CENTURY LABS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CELIO DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $500.
These limitations do not apply to liability that cannot lawfully be limited, and nothing in these Terms waives rights that applicable consumer-protection law does not permit you to waive.
Celio may change the Services or these Terms from time to time. Material changes will be presented or communicated as required by law. If Celio requires renewed acceptance, the updated Terms will apply only after the required acceptance is captured.
The version of these Terms associated with a completed order will remain the version governing that order unless applicable law requires otherwise.
Celio may suspend or terminate access to the Services for fraud, misuse, security concerns, legal or regulatory requirements, nonpayment, or material violation of these Terms.
You may stop using Celio at any time. Termination does not eliminate payment obligations or other provisions that by their nature survive termination.
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules, except to the extent the law of your state provides mandatory consumer protections that cannot be waived.
Before filing a lawsuit, you and New Century Labs agree to make a good-faith effort to resolve the dispute informally by giving the other party written notice and at least 30 days to respond, unless immediate relief is reasonably necessary.
Subject to mandatory consumer-protection law and any court with jurisdiction over a small-claims matter, disputes that are not resolved informally will be brought in a state or federal court having jurisdiction in Multnomah County, Oregon.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. New Century Labs’ failure to enforce a provision is not a waiver of that provision.
New Century Labs may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or transfer of the Celio business. You may not assign your rights under these Terms without New Century Labs’ consent.
These Terms, together with any order-specific terms displayed before purchase and the Privacy Policy, constitute the agreement between you and New Century Labs regarding the Celio Services covered here.
